# TokenCapStack

> A digital ownership record (cap table) for private businesses with more than one owner. Every owner gets their own login to see their stake. $20 a month or $200 a year, no per-owner fees.

## What TokenCapStack Does

TokenCapStack gives a private company one accurate, digital record of who owns it. The company sets up its record, lists the owners and their shares (or units, for an LLC), and invites each owner, who gets a private view of their own shares, percentage and history. Every change is recorded with its date. Records export to CSV anytime.

Who it is for: small companies and family businesses, LLCs, S-Corps and C-Corps, general partnerships, and new startups. Anyone with a different structure should email support@tokencapstack.com first.

Under the hood: each share (or unit) is recorded as a token on Base, a public blockchain, using ERC-3643, a token standard with built-in transfer controls. That makes the history permanent and independently checkable. Names, emails and ID documents stay off the blockchain. Owners never buy, hold or handle cryptocurrency.

- Common and preferred share classes, LLC units, vesting schedules with cliffs
- A private view for every owner (shares, percentage, history)
- Issuing new shares with a preview of every owner's new percentage
- Shares can only be held by owners who have passed the ID check
- Verified company badge (domain verification)
- CSV export of the ownership record, owner list and transaction history
- Optional: moving shares to an owner's personal crypto wallet

### Setup order

1. Company details (legal name, EIN) and a quick ID check for the founder
2. Domain verification: one TXT record on the company's domain (required)
3. Create the permanent record: company name, short code and total shares are saved for good
4. Invite owners: each does their own quick ID check and accepts their shares. Invites are free.

There is no cap table import yet: owners and holdings are entered by hand.

### Pricing

- $20 a month or $200 a year, the same however many owners a company has
- Founding offer: companies that sign up before January 1, 2027 get their first 12 months free. Companies that sign up from January 1, 2027 pay from day one.
- Payments are not switched on yet. There is no card to enter at sign-up.

### Pulley customers

Pulley says it is shutting down on December 8, 2026. Carta is its exclusive migration partner: customers who want Carta's assisted migration must opt in from their Pulley account by November 30, 2026. Pulley says it will not help with moves to any other provider, and that data stays available in a limited form until January 31, 2027 (source: https://pulley2025.pulley.com/guides/faq-what-is-happening-with-pulleys-shutdown, September 15, 2026). TokenCapStack fits companies whose equity is common or preferred shares, with or without vesting. There is no import yet, so owners are re-entered by hand from the Pulley export. ### Shareholder perks (optional, via Skye Meta)

Skye Meta (skyemeta.com), a separate company also led by TokenCapStack's CEO, lets a company recognize its owners on its website, at checkout and in store. It is optional and not needed to use TokenCapStack. Details: https://tokencapstack.com/shareholder-perks
