# TokenCapStack: Full Reference > A digital ownership record (cap table) for private businesses with more than one owner. Every owner gets their own login to see their stake. $20 a month or $200 a year, no per-owner fees. Last updated: 2026-10-23 **Website**: https://tokencapstack.com **App**: https://app.tokencapstack.com/ **Email**: support@tokencapstack.com **Location**: 15 Greenway Plaza 24D, Houston, TX 77046 **Social**: [@TokenCapStack on X](https://x.com/TokenCapStack), [LinkedIn](https://www.linkedin.com/company/tokencapstack) --- ## What TokenCapStack Does TokenCapStack gives a private company one accurate, digital record of who owns it: its ownership record, or cap table. The company sets up its record, lists the owners and their shares (or units, for an LLC), and invites each owner. Every owner gets a private login to see their own shares, percentage and history. Every change is recorded with its date. Everything exports to CSV anytime. The record is shared with every owner, not only the person who runs it. A business partner, a family member with a small stake or an early investor can sign in and see exactly what they own without asking. ### Who it is for - Small companies and family businesses with more than one owner - LLCs (members and units), S-Corps and C-Corps (in the app, both corporations choose "Corporation") - General partnerships (the app's "Partnership" option) - New startups Anyone with a different structure should email support@tokencapstack.com before signing up. Not a fit today: companies that need option administration, SAFEs, convertible notes, warrants or 409A valuations. ### Available today - Common and preferred share classes, LLC units, vesting schedules with cliffs - A private view for every owner: shares, ownership percentage, share class, history and vesting status - Issuing new shares, with a preview of every owner's new percentage before confirming - Shares can only be held by owners who have passed the ID check - Verified company badge, earned by verifying the company's domain - Handing administration of the company to a new verified owner - Document storage and e-signature - CSV export of the ownership record, owner list and transaction history - Optional: moving shares to an owner's personal crypto wallet ### On the roadmap (not available yet) - Option pools (ISO, NSO), SAFEs, convertible notes and warrants - Funding round tracking, anti-dilution, liquidation preferences and pro-rata rights - Dividends and distributions - 409A valuations - Cap table import, PDF export and Open Cap Table Format (OCF) export --- ## How Setup Works 1. **Company details and a quick ID check.** Sign in with an email link (no password), add the company's legal name and EIN, and complete a quick ID check. 2. **Verify the domain.** Add one TXT record to the company's domain. Any web host or domain registrar can add it, and support@tokencapstack.com will help. This is required before the record is created and earns the Verified company badge. 3. **Create the permanent record.** The company name, short code and total shares are saved for good, so they are checked first. 4. **Invite owners.** Each owner does their own quick ID check and accepts their shares, then sees their stake anytime. Invites are free. There is no cap table import yet. Owners and holdings are entered by hand. What a company needs: its legal name and EIN, a photo ID for the founder's ID check, a list of who owns what today (names, emails, number of shares or units), and access to the company's domain settings. --- ## Pricing | Plan | Price | |------|-------| | Annual | $200 a year | | Monthly | $20 a month | - One plan, everything included, no setup fees and no per-owner fees - Founding offer: companies that sign up before January 1, 2027 get their first 12 months free. Companies that sign up from January 1, 2027 pay from day one. There is no price lock. - Payments are not switched on yet. There is no card to enter at sign-up. - Optional: moving shares to an owner's personal crypto wallet - Details: https://tokencapstack.com/pricing Competitor prices change often, so they are kept on the comparison pages with the date they were checked: https://tokencapstack.com/compare --- ## Pulley Customers Pulley says it is shutting down on December 8, 2026. Carta is its exclusive migration partner: customers who want Carta's assisted migration must opt in from their Pulley account by November 30, 2026. Pulley says it will not help with moves to any other provider, and that data stays available in a limited form until January 31, 2027 (source: https://pulley2025.pulley.com/guides/faq-what-is-happening-with-pulleys-shutdown, September 15, 2026). TokenCapStack fits companies whose equity is common or preferred shares, with or without vesting. There is no import yet, so owners and holdings are re-entered by hand using the Pulley export as the reference, and every number should be checked before relying on it. Option plans, SAFEs, convertible notes and warrants are not supported yet. Details: https://tokencapstack.com/compare/pulley --- ## Under the Hood - Each share (or unit) is recorded as a token on Base, a public blockchain, using ERC-3643, a token standard with built-in transfer controls. - That makes the history permanent and independently checkable. Every change leaves a dated trail; an administrator can correct an unauthorized or mistaken transfer, and that correction is recorded too. - Names, emails and ID documents are not on the blockchain. Personal information is stored off-chain and encrypted. - Owners never buy, hold or handle cryptocurrency. Sign-in is by email link, and the blockchain is invisible unless an owner chooses to move shares to a personal crypto wallet. - If TokenCapStack shut down, share balances would remain on the public blockchain. Names are not there, so companies should keep a CSV export of their record with their company documents. Legal documents stay valid either way. --- ## Legal and Compliance - A share recorded as a token is the same legal ownership as a traditional share. Recording it this way changes how the record is kept, not the company's legal structure. - The company's existing share authorizations and agreements govern. Where an agreement and the record differ, the agreement governs, and the record should be updated to match. - Identity checks are required for the founder and for every owner before they can hold shares. - TokenCapStack keeps the ownership record. It is not a law firm, broker-dealer or transfer agent. Companies should talk to their lawyer about legal questions. --- ## Shareholder Perks (optional, via Skye Meta) Skye Meta (skyemeta.com) is a separate company, also led by TokenCapStack's CEO, Douglas Borthwick. It lets a company recognize its owners: owner-only pages on its website (SkyeGate), an owner price at checkout (SkyeWoo and Shopify), and a perk in store (the Bothy Scanner). A business learns only that a person qualifies, never a name, a balance or a list of owners. No crypto changes hands. It is optional. TokenCapStack works fully without it. One Skye license ($49 a month or $350 a year) covers a company's own website and counters, and owners never pay. Current terms: https://skyemeta.com/pricing/. Program page: https://skyemeta.com/solutions/issuers/. --- ## Founders - **Douglas Borthwick**, CEO and co-founder: more than 30 years in markets, first on Wall Street trading desks.
